A Poland-born entrepreneur running a high-volume U.S. ticket brokerage sought to professionalize operations while managing cross-border tax exposure. The business was scaling rapidly, with revenue already into seven figures, but the founder’s personal and corporate structures were inefficient and tied to the Polish tax system.

The Problem

Operating as a Polish tax resident created a heavy personal tax burden and limited flexibility to access international banking.

The brokerage’s U.S. focus raised concerns over permanent establishment and payment processing exposure, while profits were trapped inefficiently within the existing setup.

The founder also lacked clean pathways to establish residency outside Poland or to access global personal banking for investments and credit.

The Solution

We designed a multi-jurisdiction structure spanning the U.S., Hong Kong, and Thailand. The Polish tax link was unwound by establishing Thai tax residency, supported with substance through local structures.

A Hong Kong operating company was introduced to hold profits, while a U.S. LLC managed payment flows and banking without creating a taxable U.S. nexus.

Personal banking was opened in Singapore, Jersey, and Georgia, providing access to investment accounts and global financial services. Together, these measures secured compliance, optimized taxation, and created a sustainable foundation for growth.
